These Terms form a binding agreement between you and Zentryl L.L.C. ("Zentryl," "we," "us," or "our") when you create an account or use the Zentryl app, zentrylgaming.com, or related services. The Privacy Policy and Zentryl Contest Rules are incorporated into these Terms. Zentryl's current public launch permits free-entry leagues only. Players do not pay to enter and Zentryl does not offer cash prizes for newly created seasons. The paid-contest provisions below remain in effect only to administer, refund, resolve, or pay transactions from a season created before paid competition was disabled. For such a legacy season, its accepted paid-season summary controls a conflicting season-specific financial term, followed by the Contest Rules and these Terms.
1. Eligibility and Territory
You must be at least 13 to create an account. If you are under the age of legal majority where you live, you may use Zentryl only with permission from a parent or legal guardian who agrees to these Terms on your behalf. If Zentryl is resolving an eligible legacy paid season, you must be at least 18 and may need to complete location, identity, legal, and Stripe connected-account checks before receiving money associated with that season.
Zentryl is currently intended for users in the United States. A technical eligibility result does not override applicable law, sanctions, a provider restriction, or a later compliance review. You may not use a VPN, proxy, mock location, or other method to evade an eligibility control used for a legacy financial obligation.
2. Accounts and Security
You must provide accurate, current information and keep your account, device, payment credentials, and linked accounts secure. You are responsible for activity performed through your login. You may not impersonate another person, create a misleading identity, share or sell an account, or use another person's payment or payout account without authorization. Notify us promptly if you believe an account has been compromised.
3. Service License and Zentryl Rights
Subject to these Terms, Zentryl grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the service for its intended purpose. Zentryl and its licensors retain all rights in the app, software, branding, designs, and service content other than user content. You may not copy, reverse engineer, sell, sublicense, scrape, interfere with, or attempt unauthorized access to the service except where applicable law does not permit that restriction. App-store license terms also apply; these Terms do not replace Apple's or Google's standard end-user license terms.
4. Free-Entry Competition and Legacy Paid Seasons
Zentryl supports free-entry competitions whose outcomes are determined by participant or team skill and verified gameplay. Betting on another person's performance, side wagers, chance-determined winners, paid raffles, random prize drawings, casino mechanics, entry fees, and cash prizes are prohibited in newly created leagues. User organizers administer schedules and routine league operations under Zentryl's rules.
Legacy paid-season records may remain visible so Zentryl can preserve history, process eligible refunds, resolve disputes, and satisfy valid payout obligations. Their presence is not an offer to create or join a new paid season. Zentryl will not use the launch change to rewrite financial or winner terms already accepted for a legacy paid season.
5. Organizer, Captain, and Participant Duties
Organizers must create accurate league settings, administer schedules and rosters promptly, preserve evidence, and enforce rules impartially. An organizer who competes or has a financial interest must disclose the conflict and may not make the final decision on their own disputed match, placement, or payout. The matter must be referred to Zentryl support.
Participants must play on time, report results honestly, preserve requested evidence, and follow the published game and league rules. In team formats, the registered team captain is the team's authorized payer and sole recipient of any team prize unless the paid-season summary expressly says otherwise. Zentryl does not divide a team prize among teammates. Any private sharing arrangement is solely between team members and is not administered or guaranteed by Zentryl.
6. Commissioner Subscription
An auto-renewable Commissioner subscription is sold through the Apple App Store or Google Play. Commissioner Access is currently offered for USD $4.99 per month in the U.S.; store checkout controls the actual localized price and tax. An active subscription permits the account to create and operate free-entry leagues using the features described on the purchase screen. Players may join and participate without a Commissioner subscription. The subscription does not include entry fees, cash prizes, wagering, or eligibility for a paid competition.
Your store account is charged when the purchase is confirmed. A subscription renews automatically for successive billing periods until canceled through the applicable store. Cancellation normally takes effect at the end of the then-current paid period. Deleting Zentryl or your Zentryl account does not cancel a store subscription. Store rules control subscription refunds, billing retry, renewal notices, and approved price changes. Restoring a purchase restores eligible access associated with the store account after server verification.
7. Legacy Entry Fees and Competition Service Fee
No new entry-fee-funded season is available in the current service. For a legacy entry-fee-funded season, each successfully paid and non-refunded entry fee is added to the final verified prize pool. Zentryl charges a separate Competition Service Fee equal to 10% of the entry fee. The service fee is charged on top of, and is not deducted from, the displayed entry fee or prize pool. The organizer is eligible to receive 25% of the Competition Service Fee, and Zentryl retains 75%. The service fee is rounded to the nearest cent first; the organizer share is then rounded to the nearest cent. This ordinarily makes organizer compensation approximately 2.5%, and Zentryl's portion approximately 7.5%, of the entry fee.
The paid-season summary shows the entry fee, service fee, total charge, and prize formula before payment. Off-platform entry payments and side payments are prohibited. Organizer-funded prize pools are not offered for newly created leagues in the current app version.
8. Legacy Stripe Payment and Connected-Account Terms
Stripe processes eligible legacy entry payments, refunds, connected-account onboarding, and Zentryl award transfers. Payment processing services for connected account holders are subject to the Stripe Connected Account Agreement, which includes the applicable Stripe Services Agreement. You agree to provide accurate and complete information and authorize Zentryl to share identity, account, and transaction information with Stripe as needed to provide these services.
Zentryl is not a bank, and the app is not a deposit account, wallet, or escrow service. A prize shown in Zentryl is not available for transfer until the associated results are final and Stripe reports sufficient cleared funds in Zentryl's available platform balance. No interest is paid on pending amounts.
9. Legacy Awards, Transfers, Bank Payouts, and Taxes
For an eligible legacy paid season, the final verified prize pool is awarded 100% to first place. Second place receives no prize unless a separate Zentryl-authored promotion states a different formula before entry. A winner must claim an eligible award from the Earnings dashboard. Timing depends on final results, the dispute period, cleared entry funds, refunds, chargebacks, fraud review, legal review, and the winner's Stripe identity and connected-account readiness.
An "available" award in Zentryl means the award is eligible for Zentryl to attempt a Stripe transfer; it does not mean cash has reached a bank. A Zentryl award is marked transferred only after Stripe confirms the platform-to-connected-account transfer. Stripe then separately controls any payout from the connected Stripe balance to a bank or debit card, including its schedule, fees, holds, and payout status. Keep your Stripe information current and use the Earnings dashboard to review or retry eligible transfer issues.
Winners and paid organizers are responsible for applicable taxes and for providing requested tax information. Zentryl or Stripe may report payments or withhold amounts when required by law. Receiving no tax form does not make an award non-taxable.
10. Legacy Refunds, Leaving, and Cancellation
Before scheduled competition begins, an organizer may use Zentryl's refund-and-remove flow. When that flow is eligible and succeeds, it refunds both the entry fee and Competition Service Fee to the original payment method and reduces the funded prize pool. Processor and bank posting times vary.
A participant who voluntarily leaves after paying is not entitled to a refund unless required by law or the accepted paid-season summary says otherwise. After competition begins, removals, refunds, cancellations, duplicate charges, technical failures, and chargebacks require Zentryl review. Organizers may not delete or cancel a paid season outside the approved flow.
If Zentryl cancels a paid season before competition begins, Zentryl will refund the successfully processed entry fee and Competition Service Fee. If a season cannot be completed after play begins, Zentryl will determine a fair treatment based on completed play, verified results, affected participants, processed refunds, and applicable law, and will communicate that decision before closing the season. Zentryl will not retroactively increase a fee or change a paid season's accepted winner formula.
11. Results, Reviews, and Disputes
Match results must be truthful and supported when evidence is requested. The Contest Rules and accepted paid-season summary govern scoring, deadlines, ties, no-shows, disconnects, and disputes. Zentryl may pause standings, advancement, organizer compensation, or an award while it investigates. A hold is not a forfeiture. Disqualification or loss of a prize must be based on documented rule enforcement and applicable law. Where reasonably possible, Zentryl will provide notice of the decision and a way to request review through support.
12. Prohibited Conduct and User Content
Zentryl has zero tolerance for objectionable content or abusive users. Objectionable content includes unlawful, threatening, harassing, hateful, sexually explicit, exploitative, fraudulent, infringing, or dangerously deceptive content, as well as spam and content intended to facilitate abuse.
You may not cheat, collude, fix matches, exploit software defects, submit false evidence, abuse payment systems, evade moderation, harass or threaten users, post unlawful or infringing material, misuse streaming integrations, or attempt unauthorized access to data or accounts.
You retain ownership of content you submit. You grant Zentryl a worldwide, non-exclusive, royalty-free license to host, copy, process, display, and distribute that content only as needed to operate, secure, moderate, and promote the service. This license includes use by service providers acting for Zentryl and continues only as reasonably needed for those purposes, backups, disputes, and legal records. You must have the rights needed to submit the content. Users can report content and block abusive users. We may investigate, preserve evidence, remove content, or restrict accounts that violate these Terms. We do not restrict honest consumer reviews of Zentryl.
13. Third-Party Services
The service depends on providers including Firebase and Google Cloud, Apple, Google Play, Stripe, Twitch, YouTube, Google Maps, IP geolocation services, and device integrity and notification services. Their terms and privacy policies may also apply. You must comply with applicable third-party terms. Zentryl is not responsible for a third party's independent service, outage, account action, or policy change, but this clause does not limit rights that cannot lawfully be limited.
14. Privacy
The Privacy Policy explains our data practices and choices. Device permissions, such as location and notifications, are requested through the operating system. Declining a permission may make the related feature unavailable; precise location is required for monetized eligibility.
15. Suspension, Termination, and Account Closure
We may suspend leagues, hold transfers, restrict monetized features, remove content, or terminate access when reasonably necessary to address fraud, cheating, safety, legal, security, or provider-policy risk. We will not treat an undisputed earned award as forfeited merely because Stripe funds or identity review is still pending.
You may initiate account deletion in-app. Every league you still host must be deleted or transferred first, even if it is complete. Unresolved payments, refunds, disputes, chargebacks, or awards must also be resolved. Deletion does not cancel a store subscription, close a Stripe connected account, or erase records that Zentryl or a provider must retain for legal, tax, accounting, fraud-prevention, safety, or dispute purposes.
16. Disclaimers and Limitation of Liability
To the extent permitted by law, the service is provided "as is" and "as available" without implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes a warranty, remedy, or liability that cannot lawfully be excluded. To the extent permitted by law, Zentryl is not liable for indirect, special, incidental, punitive, or consequential damages. Zentryl's aggregate liability arising from the service will not exceed the greater of $100 or the amount you paid directly to Zentryl during the 12 months before the claim, excluding entry fees allocated to a competition prize pool. These limits may not apply where prohibited.
17. Changes
We may change prospective features, prices, integrations, and future contest offerings. Updated Terms apply after the posted effective date and any notice or acknowledgement required by the app. Material changes do not apply retroactively to rewrite a paid season's accepted entry fee, service-fee rate, or winner formula.
18. Governing Law and Disputes
These Terms are governed by Michigan law, without regard to conflict-of-law principles, except where the law where you live gives you non-waivable rights. Before filing a claim, you and Zentryl agree to make a good-faith effort to resolve it through the support contact below. These Terms do not require arbitration, waive a jury trial, or waive participation in a class action.
19. General Terms and Contact
These Terms, the Privacy Policy, Contest Rules, and accepted paid-season summary are the entire agreement about the service. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Zentryl may assign them as part of a merger, financing, reorganization, or sale of the service, subject to applicable law. Provisions that by their nature should survive termination will survive.
